What is Company Formation in Kuwait?
Company formation in Kuwait is the process of registering a legal entity that can conduct business activities in the country. There are different types of companies that can be formed in Kuwait, depending on the nature and size of the business, the number and nationality of the shareholders, and the level of liability and taxation.
The most common type of company that foreigners can form in Kuwait is a Limited Liability Company (LLC), also known as a With Limited Liability Company (WLL) in Kuwait. An LLC is a separate legal entity that provides limited liability protection to its shareholders, who are not liable for the debts or obligations of the company beyond their share capital. An LLC is also exempt from income tax in Kuwait, except for foreign shareholders who are subject to a 15% withholding tax on their profits.
However, an LLC requires at least one Kuwaiti partner who owns at least 51% of the shares, according to Article 23 of the Kuwaiti Commercial Code. This means that foreigners cannot have full ownership or control over their business in Kuwait unless they operate in certain sectors that allow up to 100% foreign ownership under Law Number 8 on Regulating Foreign Capital Direct Investment in Kuwait.
Other types of companies that can be formed in Kuwait include:
- General Partnership Company – A company where all partners are jointly and severally liable for the debts and obligations of the company. This type of company is not suitable for foreigners, as it requires at least two Kuwaiti partners who own at least 51% of the shares.
- Limited Share Partnership Company – A company where some partners have limited liability and others have unlimited liability. This type of company is also not suitable for foreigners, as it requires at least one Kuwaiti partner who has unlimited liability and owns at least 51% of the shares.
- Joint Venture Company – A company where two or more parties agree to share the profits and losses of a specific project or business activity. This type of company does not have a separate legal personality and is not subject to registration or taxation. However, it requires at least one Kuwaiti partner who owns at least 51% of the shares.
- Branch Company – A company where a foreign parent company establishes a branch office in Kuwait to carry out its activities. This type of company does not have a separate legal personality and is subject to registration and taxation. It also requires a Kuwaiti agent who acts as a representative and sponsor for the branch.
